Welcome to Chroma Vision. By accessing or using our advanced AI image recognition tools and services, you agree to be bound by the following terms and conditions. These legally binding Terms of Service (“Terms”) govern your use of all services provided by Chroma Vision, headquartered at 1025 Market Street, Suite 700, San Francisco, CA 94103, United States. Your continued use of our services constitutes your explicit acceptance of these Terms.

Should you disagree with any portion of these Terms, you must cease using our services immediately.

Accessing our website or creating an account signifies your formal agreement to these terms. This creates a legally binding contract between you and Chroma Vision regarding your use of our AI technologies.

Modification of Terms

Chroma Vision reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any material changes, typically via email to registered users or prominent notification on our website. What constitutes a material change will be determined at our sole discretion.

Your continued use of our services after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically to stay informed.

  • “Services” refer to all AI-powered image analysis, object recognition, visual tagging, custom AI model training, data annotation services, image upload zone development, result panel visualization, and related offerings provided by Chroma Vision.

  • “Intellectual Property” refers to all patents, copyrights, trademarks, trade secrets, and other proprietary rights of Chroma Vision, including our software, algorithms, and documentation.

Availability Commitments

Chroma Vision is committed to providing robust and reliable services. We aim for 99.9% uptime, excluding scheduled maintenance windows. Notifications for planned maintenance will be provided in advance through our service status page and registered email addresses.

While we strive for continuous operation, service availability may be impacted by factors beyond our reasonable control, such as internet service provider outages or acts of nature.

Geographic and Jurisdictional Limitations

Our services are accessible globally, however, certain features or data processing capabilities may be subject to geographic restrictions or compliance with specific local regulations. Users are responsible for ensuring their use of Chroma Vision complies with all applicable laws in their jurisdiction.

We reserve the right to restrict access to our services in regions where legal or regulatory frameworks prevent us from operating responsibly.

Service Modifications & Beta Features

Chroma Vision continuously innovates and updates its services. We reserve the right to modify, add, or discontinue features without prior notice. For significant changes, we will endeavor to inform users reasonably in advance.

Beta or experimental features may be offered from time to time. These features are provided “as-is” without warranty and may contain bugs or errors. Your feedback on beta features is invaluable for our product development.

User Responsibilities and Acceptable Use

To ensure a secure and productive environment for all users, adherence to the following responsibilities and acceptable use policies is mandatory:

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including usernames and passwords. Any activity occurring under your account is your responsibility. Promptly notify Chroma Vision of any unauthorized use of your account or any other breach of security.

Chroma Vision will never ask for your password via unofficial communication channels.

Content Guidelines

You must ensure that all images and data uploaded to our services comply with all applicable laws and regulations. You retain full responsibility for the legality, accuracy, and quality of content you provide.

Prohibited content includes, but is not limited to, illegal, infringing, offensive, or harmful material. Chroma Vision reserves the right to remove any content that violates these guidelines.

Prohibited Activities

Users are prohibited from:

  • Reverse engineering, decompiling, or disassembling any part of our services.
  • Attempting to gain unauthorized access to our systems or data.
  • Introducing malware, viruses, or other malicious code.
  • Disrupting the integrity or performance of the services or associated data.
  • Using the services for any illegal or unethical purposes.

Any violation of these prohibitions may result in immediate suspension or termination of your account and legal action.

Intellectual Property and Data Rights

Chroma Vision Intellectual Property

All intellectual property rights associated with the Chroma Vision services, including our proprietary software, algorithms, data models, website design, trademarks, and documentation, are owned exclusively by Chroma Vision or its licensors. These rights are protected by international copyright, trademark, patent, and trade secret laws.

You are granted a limited, non-exclusive, non-transferable license to use our services solely for your internal business purposes, subject to these Terms. No other rights are granted or implied.

User Data Ownership and Licensing

You retain full ownership of all Content (images, data, etc.) that you upload or submit to the Chroma Vision services. We do not claim ownership over your Content.

By using our services, you grant Chroma Vision a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, distribute, and display your Content solely for the purpose of providing, maintaining, and improving the services. This includes training our AI models using your anonymized and aggregated data, unless you explicitly opt out via your account settings where available. We are committed to robust data anonymization procedures to protect your privacy and proprietary information.

Third-Party IP and DMCA Compliance

Chroma Vision respects the intellectual property rights of others. If you believe your copyright has been infringed by content on our services, please submit a Digital Millennium Copyright Act (DMCA) compliant notification to our designated agent at info@chromavision.com. Your notice must include all information required by 17 U.S.C. § 512(c)(3).

We will respond to valid notifications in accordance with applicable law and our policies. Users who repeatedly infringe copyrights may have their accounts terminated.

Payment Terms and Billing Policies

Transparent and predictable billing is a cornerstone of our service. Please review our payment terms:

Pricing and Billing Cycles

Our pricing structure is detailed on our pricing page and is based on usage metrics such as image volume, API calls, and custom model complexity. All fees are quoted in USD.

Services are billed on a monthly or annual basis, as agreed upon during subscription activation. Invoices will be issued electronically and are due net 30 days from the invoice date. Accepted payment methods include major credit cards, ACH transfers, and for enterprise clients, purchase orders with prior arrangement.

Late Payments and Account Suspension

Payments not received by the due date may incur a late fee of 1.5% per month or the maximum allowable by law, whichever is less. Accounts with overdue balances may be subject to temporary suspension of service after a 10-day grace period. Services will be reinstated upon full payment of all outstanding balances, including any late fees.

Chroma Vision reserves the right to terminate accounts with persistently overdue payments.

Refunds and Billing Disputes

Due to the nature of our digital services, Chroma Vision generally does not offer refunds for services already rendered. Exceptions may be made in cases of documented service unavailability or billing errors, at our sole discretion. Any refund request must be submitted within 30 days of the billing period in question.

Limitation of Liability and Disclaimers

Service Warranties and Disclaimers

CHROMA VISION PROVIDES ITS SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS. WHILE WE STRIVE FOR OPTIMAL PERFORMANCE AND ACCURACY, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF OUR SERVICES. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

AI models inherently involve probabilities and inferences. While Chroma Vision continually refines its algorithms, we do not guarantee 100% accuracy in image recognition or analysis results. Users are advised to implement their own validation procedures for critical applications.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHROMA VISION, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF CHROMA VISION FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID CHROMA VISION FOR THE SERVICES IN THE PAST SIX MONTHS.

Termination and Dispute Resolution

Account Termination

You may terminate your account at any time by following the instructions in your account settings or by contacting our support team. Chroma Vision may terminate or suspend your account access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Data Retention and Deletion

Following account termination, Chroma Vision will retain your data for a limited period as required by law or for legitimate business purposes (e.g., billing, auditing). User data will be permanently deleted after this retention period, typically 30-90 days, in accordance with our data retention policy.

Dispute Resolution & Governing Law

Any dispute or claim arising out of or relating to these Terms or the breach thereof shall first be addressed through informal negotiations. If informal resolution is unsuccessful, the parties agree to resolve any disputes through binding arbitration administered by the American Arbitration Association in San Francisco, California, under its Commercial Arbitration Rules. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the federal and state courts located in San Francisco, California for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a our copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

CLASS ACTION WAIVER: YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST CHROMA VISION ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
